 * Says company entered into the placing agreement with the placing agent 
 * Pursuant to agreement,placing agent has conditionally agreed to place the convertible bonds with a principal amount of up to HK$52.8 million 
 * Says company intends to use the net proceeds from the placing for financing the group's money lending business
