Circumstances giving rise to the notification

Today, Thursday 19 March 2025, Torquil Sligo-Young, transferred 8,000 A
ordinary shares of 12.5p each (“A Shares”) and 10,000 non-voting ordinary
shares of 12.5p each (“NV Shares”) in the Company’s capital. One of the
beneficiaries is a person closely associated with Torquil Sligo-Young and a
separate notification is set out below in that respect. The shares were
transferred at nil consideration.
