** Cybersecurity firm ZeroFox Holdings'  ZFOX.O  shares rise
20.7% to $1.10
    ** Co says PE firm Haveli Investments will acquire it in an
all-cash deal worth ~$350 mln
    ** ZeroFox stockholders will receive $1.14 per share, a
premium of 24.6% to last close
    ** Including session's move, stock down 65.6% in last 12
months
