** Shares of cybersecurity firm ZeroFox Holdings Inc  ZFOX.O 
rise 2.2% to $1.38 in premarket trade
    ** ZFOX announces it will buy LookingGlass Cyber Solutions
for about $26 million
    ** Purchase price of $26 million primarily in stock (9.4 mln
shares), combined with convertible debt and cash 
    ** Bryan Ware, CEO of LookingGlass, to join the ZeroFox
executive team as part of deal
    ** Stock down ~73% YTD, as of last close
