    * informed by National Honour Investments that it had been 
approached by an independent third party in respect of a 
possible disposal 
    * vendor informed board that discussions are still in 
progress and no legally binding agreement has been entered into 
in relation to possible disposal 
    * possible disposal of ordinary shares of hk$0.01 each of 
company by vendor which may result in a change in control of 
company
