ZOO Digital Group plc, the provider of localisation and digital distribution services for the global entertainment industry, announces that, in accordance with instructions from certain employees for whom ZEST holds ordinary shares of 1 penny each ("Ordinary Shares") on trust, on 20 August 2018, ZOO Employee Share Trust Limited ("ZEST") sold 10,257 Ordinary Shares at a price of 130 pence per Ordinary Share. ZEST is a wholly-owned subsidiary of ZOO, the purpose of which is to hold Ordinary Shares for the benefit of employees of the Group. Stuart Green is a director of the Company and also a trustee of ZEST, he is therefore treated as having an interest in the Ordinary Shares held by ZEST.
 
Following this transaction ZEST holds a total of 224,177 Ordinary Shares.
 
The Company announces that on 20 August 2018, 4,000 Ordinary Shares were allotted pursuant to an exercise of options over Ordinary Shares by an employee of the Company. The exercise of options was satisfied by the allotment by the Company of 4,000 new Ordinary Shares.
 
The Company also announces that on 20 August 2018, 18,750 Ordinary Shares were allotted pursuant to the conversion of £9,000 7.5% unsecured convertible redeemable loan stock by a loan noteholder, at the conversion price of 48 pence. The conversion of loan stock was satisfied by the allotment by the Company of 18,750 new ordinary shares.
 
Application has been made to the London Stock Exchange for the 22,750 new Ordinary Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence at 8.00 a.m. on or around 27 August 2018. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.
 
The total number of Ordinary Shares in issue following Admission will be 74,366,271. There are no Ordinary Shares held in treasury. The total number of voting rights in the Company is therefore 74,366,271. This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
