 Restricted Share Awards

 

Pursuant to the rules of The 3i Group Deferred Bonus Plan 2020, on 5 June 2023
the following individuals, being Directors / persons discharging managerial
responsibilities ("PDMR"s) of 3i Group plc (the "Company"), were granted
awards over ordinary shares of 73 19/22p each ("Shares") (ISIN: GB00B1YW4409)
in the Company as detailed against their names below:

on 5 June 2023, the following PDMRs of the Company were granted cash settled
awards (under which a bonus is paid by reference to a number of notional
Shares in the Company) as detailed against their names below:

Performance Share Awards

 

Pursuant to the rules of The 3i Group Discretionary Share Plan 2020, on 5 June
2023 the following individuals, being PDMRs of the Company, were granted
awards over Shares (ISIN: GB00B1YW4409) in the Company as detailed against
their names below:

 J Marie   43,169

 

Pursuant to the rules of the 3i Group Special Share Award Plan, on 5 June 2023
the following PDMRs of the Company, were granted awards over Shares (ISIN:
GB00B1YW4409) in the Company as detailed against their names below:

 S Moseley     95,738
 B Sottomayor  95,738

 

The Performance Share Awards are subject to performance conditions.

 

The consideration for the grant of each of the awards detailed above was nil.
The place of the transactions detailed above was London.

 

Each of the Directors/PDMRs above notified the Company of the changes in their
interests on 5 June 2023.
