On 3 June 2015, 3i Group plc (the "Company") was notified of the following. On 1 June 2015 share awards under the 3i Group Deferred Bonus Plan held by the persons discharging managerial responsibilities named in the table below vested. On that date the ordinary shares of 73 19/22p each in the Company ("Shares") shown in the column headed "Shares acquired" were either acquired by the person named or ceased to be subject to restrictions under the Plan. The Shares shown in the column headed "Shares sold" were sold on 1 and 2 June 2015 at a price of 5.607 per share to cover tax and National Insurance payable on the award vesting.
