On 6 June 2016, 3i Group plc (the "Company") was notified of the following. On 1 June 2016 share awards under the 3i Group Deferred Bonus Plan (the "Plan") held by the persons discharging managerial responsibilities named in the table below vested or were exercised. On that date the ordinary shares of 73 19/22p each in the Company ("Shares") shown in the column headed "Shares acquired" were either acquired by the person named or ceased to be subject to restrictions under the Plan. The Shares shown in the column headed "Shares sold" were sold from 1 to 3 June 2016 at a price of 5.4806 per share including to cover tax and National Insurance payable on the award vesting.
