On 17 May 2018, 3i Group plc (the "Company") was notified that on 17 May 2018 Simon Thompson, a Director and person discharging managerial responsibilities, transferred 3,101 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") from his own name to the joint names of himself and his wife,  Anne Fiona Thompson, a Person Closely Associated ("PCA") to him for nil cost.
 
The place of the above transaction was the London Stock Exchange.
