Total voting rights

 

3i Group plc (the "Company) confirms that as at 30 September 2025 19,916,225
new ordinary shares of 73 19/22 pence in the Company have been allotted and
admitted to trading on the London Stock Exchange.  The Company's issued share
capital now consists of 993,330,029 ordinary shares of 73 19/22p each
('Ordinary Shares'), with voting rights.

 

The Company does not hold any Ordinary Shares in treasury. The total voting
rights figure of 993,330,029 Ordinary Shares may be used by shareholders (and
others with notification obligations) as the denominator for the calculations
by which they will determine whether they are required to notify their
interest in, or a change to their interest in, the Company under the FCA's
Disclosure Guidance and Transparency Rules.

 

For the purposes of the Transparency Directive the Home Member State of 3i
Group plc is the United Kingdom.
