Notice of Written Shareholder Resolutions
The Company today announces the circulation of a notice of written resolutions
(the "Notice of Written Resolutions") requesting the shareholders to consider
the resolutions set out in the Notice of Written Resolutions being proposed as
written resolutions ("Written Resolutions").
The Written Resolutions being proposed include approval of: (i) the
dis-application of the pre-emption rights in connection with the issue of new
shares pursuant to the Share Tender Offer announced on 28 January 2025; (ii)
an amendment to the Memorandum and Articles of Association to confirm that the
Company shall hold an AGM each year at such time and place as the Board
appoint; and (iii) ratifying that an AGM was not held in 2024.
The Notice of Written Resolutions has been submitted to the National Storage
Mechanism. Shareholders are urged to read the Notice of Written Resolutions
carefully.
