Notification of transactions by Directors / PDMRs
Following the demerger of Anglo American's Thermal Coal operations in South Africa into a new standalone business listed on the Johannesburg and London stock exchanges, Thungela Resources Limited ("Thungela"), and as referred to in the Circular sent to Anglo American's shareholders in connection with the demerger, adjustments to existing awards of Anglo American ordinary shares ("Ordinary Shares") were made under the Company's Long Term Incentive Plan ("LTIP"), Bonus Share Plan ("BSP") and Non-Cyclical Awards ("NCA") (together, the "Existing Awards") at nil cost on 16  June 2021. 
 
These adjustments have been made pursuant to the rules of these Anglo American share plans to account for those Existing Awards not receiving the Thungela shares in respect of the Ordinary Shares subject to these awards. The Anglo American and Thungela share prices used to calculate these adjustments were the average closing share prices for the first week of trading, the week commencing 7 June 2021.  
 
The Existing Awards, now including the adjusted number of Ordinary Shares, will remain on their existing terms, and will therefore vest and be released on the original vesting dates and subject to the original terms and conditions, performance conditions and forfeiture provisions. 
 
The adjustments to the Existing Awards have been made on the same terms for all participants in these Anglo American share plans.  In accordance with Article 19 of the UK Market Abuse Regulation, the relevant FCA notifications in respect of the impact of these adjustments on awards held by Directors/PDMRs are set out below.
