CO.,LTD., with undisclosed price, and raise voting power in the 
unit to 80.7 percent from 36 percent, effective April 1  
    * Says wholly owned unit Asahi AV Japan Corporation will 
merge 
with unit ASAHI AV TRADING CO.,LTD., effective April 2 
    * Says ASAHI AV TRADING CO.,LTD., will be dissolved after 
merger
