ANNOUNCEMENT OF COMPLETION OF ADDITIONAL EQUITY TRANSACTION

15 November 2023

Wales & West Utilities Finance plc (the "Company") announces that,
following the successful closing of the inaugural private placement issuance
by West & Western Midco Finance plc as announced on 3 November 2023, £197
million as additional equity has been down streamed to Wales & West
Utilities Limited ("WWU"). This is in addition to (i) £759 million of equity
received by WWU to replace an equivalent amount repaid to certain loan note
holders affiliated with its indirect shareholders, as announced on 26
September 2023; and (ii) £147 million of additional equity received by WWU as
announced on 9 October 2023.
