AGM Statement

 

Brave Bison, the next-generation marketing and technology partner for global
brands, is pleased to provide the following statement ahead of the Company's
Annual General Meeting to be held at 10am today.

 

Underlying trading in the first five months of 2025 has been in line with
expectations, and the Board is very pleased to report strong progress in
pursuit of Brave Bison's strategic goals. Four acquisitions have been
announced since the start of the year, each improving Brave Bison's
competitive advantage and enhancing the Company's position as the go-to
marketing and technology partner for ambitious CMOs.

 

Engage Digital Partners, acquired in January 2025, has bolstered our Sport
& Entertainment practice and given us an enviable roster of new clients
including some of the largest sports organisations in the world: Real Madrid,
Formula 1 and ICC. Builtvisible, acquired in March 2025, improves our
capability in performance marketing: specifically search engine optimisation,
which has become a key focus area for brands looking to stay ahead as Google
evolves its core search products to include AI. The Fifth, acquired in April
2025, gives us more exposure to influencer marketing, one of the fastest
growing segments of our market, and marks our strategic partnership with News
Corp., the global media company, as a shareholder and client. All three of
these acquisitions are being integrated into our operating platform and three
existing business units: Brave Bison, SocialChain and Sport &
Entertainment.

 

Acquisition of MiniMBA & Placing

 

MiniMBA, the fourth acquisition of the year and Brave Bison's largest ever
transaction, is expected to complete in July 2025. MiniMBA is a marketing
skills and training platform that provides MBA-level education through an
online learning portal. Over 40,000 marketers have taken MiniMBA courses since
inception, including leaders from American Express, McDonald's, Google,
British Airways, Nestle and Salesforce.

 

MiniMBA will form the cornerstone of a new skills and capabilities practice
that will sit alongside, but operate independently from, Brave Bison's
existing marketing and technology operations. This new practice will allow
Brave Bison to better service CMOs, cementing the Company as the marketing and
technology partner-of-choice for future-focused brands.

 

In order to finance the acquisition of MiniMBA, Brave Bison has conditionally
raised gross proceeds of £13.5 million by way of an oversubscribed placing
and subscription of new ordinary shares to new and existing institutional and
other investors. As part of this fundraising, Mark Ritson, founder of MiniMBA,
has personally invested £2.0 million immediately, and will invest a further
£2.0 million into Brave Bison over the next 24 months, becoming a strategic
shareholder and long-term partner for the business.

 

The Board would like to thank Brave Bison's shareholders and dedicated
employees for their continued support over the past 12 months. We look forward
to providing a further update with the publication of the Company's Interim
Results in September 2025.

Tour, US Open, Ryder Cup and Le Mans. In January 2025, Brave Bison completed
the acquisition of Engage, a specialist sports marketing agency with
operations in London, Dubai, India and Australia. Engage strengthens Brave
Bison's capabilities in digital content and channel management for
high-profile sports properties, including Formula 1, the ICC, and Real Madrid.

Since 2020, Brave Bison has completed two platform acquisitions and five
bolt-on acquisitions, all of which have been integrated into a single
operating platform with centralised functions covering technology, operations,
sales, marketing, HR and finance. In April 2025, Brave Bison acquired The
Fifth, an award-winning influencer marketing agency owned by News Corp. The
Fifth has since been integrated into SocialChain, enhancing the Group's
capabilities in influencer marketing and social strategy.
