** BRZE says it is acquiring AI decisioning firm Offerfit for $325 million

** Says deal price to be paid in combination of cash and BRZE stock

** Co says deal expected to close in fiscal quarter ending July 31

** Up to Thursday's close, BRZE stock down ~12.4% YTD
