Grant of Share Options and Notification of Transaction of person discharging
managerial responsibilities ("PDMR")

 

 

BTG Consulting plc ("the Company"), announces that the board has made a grant
of nominal value share options over 1,606,900 ordinary shares of 5 pence each
in the Company ("Options") under its Share Option Scheme 2022.

 

The allocation includes awards to two of the Company's executive directors who
are classified as PDMRs, Mark Fry and Nick Taylor, who have each been granted
436,500 and 185,400 Options respectively. One fifth of these Options are
subject to time-based vesting criteria.  The remaining Options will be
assessed with reference to compound annual growth in adjusted diluted earnings
per share ("EPS Growth") measured over a three-year performance period, with
the award vesting proportionately between 5% and 12.5% EPS Growth.

 

The remaining Options over 985,000 ordinary shares have been granted to
certain partners and senior employees within the Company and have the same or
similar stretching performance measures.
