Notification of Transactions By Persons Discharging Managerial Responsibilities

 

Burford Capital Limited ("Burford"), the leading global finance and asset management firm focused on law, provides the following notification of various transactions by persons discharging managerial responsibilities (each, a "PDMR").

 

Investment in Shares through Burford Capital Deferred Compensation Plan

 

On August 21, 2025, Burford's Chief Executive Officer, Christopher P. Bogart, Chief Investment Officer, Jonathan T. Molot, Chief Financial Officer, Jordan Licht and General Counsel and Chief Administrative Officer, Mark Klein used their respective deferred cash compensation to purchase Burford's ordinary shares of nil par value ("Shares") through Burford's employee deferred compensation plan.

 

These investments total 137,462.6 Shares, comprising 66,904 Shares by Mr. Bogart, 65,277.5 Shares by Mr. Molot, 1,303.4 Shares by Mr. Licht and 3,977.6 Shares by Mr. Klein.

 

Estate Planning by Mr. Molot

 

On August 21, 2025, 2.227265%, 7.863065% and 12.577517% interests in Jonathan Molot LLC ("JM LLC"), a company which is controlled by Chief Investment Officer Jonathan Molot and which holds 6,000,000 Shares, were transferred from Jonathan T. Molot May 2024 Trust, Jonathan T. Molot August 2024 Trust and Jonathan T. Molot June 2023 Trust, respectively, to Mr. Molot. In addition, Jonathan T. Molot June 2023 Trust transferred a 0.350580% interest in JM LLC to Jonathan T. Molot 2017 Remainder Trust. Also on August 21, 2025, Mr. Molot transferred a 22.667847% interest in JM LLC to Jonathan T. Molot August 2025 Trust.

 

These transactions do not change the beneficial ownership of Shares held by Mr. Molot, his family members and trusts established, and companies controlled by, Mr. Molot. Ongoing annual movement of ownership interests in JM LLC back-and-forth between Mr. Molot and annual trusts established by Mr. Molot, of which he and his family members are the beneficiaries, is expected as a normal part of Mr. Molot's US estate planning.
