Capita plc – Directorate Changes and withdrawal of AGM Resolution

Capita plc (the “Company”) announces the following changes to its Board.

Nneka Abulokwe, OBE has advised the Board of her decision to step down as a
Non‐Executive Director at the conclusion of the Company’s Annual General
Meeting to be held on 18 May 2026 (the “2026 AGM”) to focus on her other board
and advisory commitments.

Nneka was appointed to the Board in February 2022 and was appointed Chair of
the Company’s Responsible Business Committee and as the Board’s Designated
Non‐Executive Director for colleague engagement in early 2024.

The Board is pleased to announce the appointment of Emma McGuigan as an
Independent Non‐Executive Director, with effect from the conclusion of the
2026 AGM.

On appointment, Emma will assume the role of Chair of the Company’s
Responsible Business Committee and will serve as the Board’s designated
Non‐Executive Director for colleague engagement. She will also join the Audit
& Risk and Nomination Committees.

Emma brings extensive experience of leading large‐scale, technology‐enabled
change at senior level. She retired from Accenture in 2024 following a career
of more than 30 years with the company, during which she held senior global
leadership roles across technology and industry and served on Accenture’s
Global Management Committee.

Emma currently holds non‐executive and advisory roles, including serving on
the Digital Advisory Board of Coca‐Cola Europacific Partners plc, as a
Non‐Executive Director of Create Future Studios Ltd and as AI Programme
Advisor at the British Computer Society.

Emma McGuigan said:

Amendment to AGM resolutions

As a result of Nneka Abulokwe’s decision to step down from the Board at the
conclusion of the 2026 AGM, the resolution proposing her re‐election will be
withdrawn. The withdrawal of resolution 7 relating to the re-election of Nneka
Abulokwe does not affect the validity of the Notice of Annual General Meeting
dated 31 March 2026, nor the validity of the other resolutions to be proposed
at the 2026 AGM, which remain unchanged.

There is no further information which is required to be disclosed pursuant to
UK Listing Rule 6.4.8 in relation to Emma McGuigan.
