Grant of Long-Term Share Awards

 

Central Asia Metals plc (AIM:CAML) announces that, on 15 July 2021, the following nominal cost long-term share awards ("Awards") over ordinary shares in the Company at an exercise price of $0.01 per share, were granted to Executive Directors of the Company under the Central Asia Metals Employee Share Plan 2011. Each Award is exercisable in return for one ordinary share.

1 vesting of these awards is subject to the achievement of certain performance conditions

2 before any adjustments for accrued dividends

 

These Awards will generally vest on 31 March 2024 subject to the achievement of performance conditions to align with CAML's understanding of long-term shareholder expectations. The performance conditions comprise:

 

- a 75% component achieved by relative total shareholder return ('TSR') versus CAML's peer group

 

- a 25% component related to achievement of CAML's long-term sustainability targets.

 

The Awards have a maximum term of 10 years from the date of grant, subject to any earlier lapsing under these rules.
