Exercise of Share Awards, Total Voting Rights and Directors Dealings


 


Chariot Limited (AIM: CHAR), the Africa-focused energy company, announces that the Company will issue a total of 80,543,155 new ordinary shares ("New Ordinary Shares"), pursuant to the exercise by certain Directors and employees of nil cost options under the Company’s Long Term Incentive Share Scheme and Non-Executive Directors’ Restricted Share Unit Plan (“Share Schemes”). 


 


Of the New Ordinary Shares, a proportion has been withheld and sold to an investor to meet the Company’s liability for Employers National Insurance, together with the individual’s Employees National Insurance and income tax liabilities. The New Ordinary Shares includes additional shares issued specifically to fund the Employers National Insurance liability in accordance with the rules of the Share Schemes.


 


Adonis Pouroulis, Andrew Hockey, Julian Maurice-Williams and Duncan Wallace will receive and retain their shares net of tax deductions, with details listed in the tables below. 


 


The Company has applied for admission of the New Ordinary Shares to trading on AIM (“Admission”). Admission is expected to occur at 8.00 a.m. on 27 October 2026. Following Admission, the Company will have 3,026,036,063 Ordinary Shares in issue and there are no shares held in treasury. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
