Dec 28 (Reuters) - China Haisheng Juice Holdings Co Ltd  0359.HK : 
 * Discloseable transaction - deemed disposal of equity interests in bin county 
   haiyue agriculture company limited  0359.HK  
 * Says shaanxi chaoyue and bin county urban construction entered into a capital 
   raise agreement 
 * Registered capital of target company will be increased from RMB30 million to 
   RMB130 million 
 * Upon completion of contributions, shaanxi chaoyue's equity interest in target 
   co will be diluted from 100% to about 69.23% 
 * Each of shaanxi chaoyue and bin county urban construction to contribute to 
   registered capital of target company at RMB60 million and RMB40 million 
 * Expected that proceeds from contributions will help to fund target co's 
   future development in extending its distribution channel 
 * Says amount of capital contribution by bin county urban construction shall be 
   payable in cash
