NOTICE OF ACCESSION OF NEW GUARANTOR

Reference is made to the U.S.$500,000,000 7.50 per cent. Loan Participation Notes due 2022 (the "Notes") issued by KOKS Finance D.A.C. (the "Issuer") on a limited recourse basis for the sole purpose of extending a loan to PJSC "KOKS" (the "Company") such loan initially unconditionally and irrevocably guaranteed by JSC "KMAruda", LLC Tikhova Mine and LLC Butovskaya Mine and PJSC "Tulachermet" (the "Initial Guarantors").
The Issuer announces today that Limited Liability Company "Uchastok "Koksovyi" (the "Further Guarantor"), a wholly owned subsidiary of the Company, has agreed to become a Further Guarantor pursuant to Clause 2.13 of the deed of guarantee entered between the Issuer and the Initial Guarantors on 2 May 2017 (the "Deed of Guarantee") and Clause 10.9 of the loan agreement entered between the Company as borrower and the Issuer as lender on 2 May 2017 (the "Loan Agreement"), by executing a deed of accession to the Deed of Guarantee effective as of 22 July 2020 (the "Deed of Accession"). The Further Guarantor has undertaken in accordance with the Deed of Accession to perform all of the obligations expressed to be undertaken under the Deed of Guarantee by a Guarantor on a joint and several basis with each other Guarantor and agreed that it shall be bound by the Deed of Guarantee in all respects as if it had been an original party thereto. The principal amount of the Notes and of the Loan currently outstanding is USD 474,310,000.
