Total Voting Rights and Capital
 
In accordance with DTR 5.6.1 of the FCA's Disclosure Guidance and Transparency Rules, Close Brothers Group plc ("CBG") notifies the market that as at 29 March 2018:
 
CBG's issued share capital consists of 151,424,218 ordinary shares of 25p each with voting rights. 
 
This figure excludes 636,072 ordinary shares which have been bought back and held in treasury by CBG.  These shares are not taken into consideration in relation to the payment of dividends and voting at shareholders' meetings.
 
Therefore, the total number of voting rights in CBG is 151,424,218. This figure may be used by shareholders (and others with notification obligations) as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, CBG under the FCA's Disclosure Guidance and Transparency Rules.
