GM Update and Issue of Shares

 

Cloudbreak Discovery PLC (LSE: CDL) announces that the general meeting of the
Company to be held on 21 April 2022 at 520 - 999 West Hastings Street,
Vancouver, British Columbia, Canada, V6C 2W2, at 10:00 am (PST) 6:00 pm (BST)
has been postponed and will now be held on 25 April 2022 at the same time and
venue.

 

Shareholders must return their form of proxy to the Company's registrars by 10
am (PST) 6 pm (GMT) on 21 April 2022.

 

The Company further announces that is has issued 400,000 new ordinary shares
pursuant to the exercise of warrants at 3p per share raising gross proceeds of
£12,000.

 

Application is being made for the new ordinary shares to be admitted to
trading which is expected to be on or around 14 April 2022. These shares rank
pari passu with the existing ordinary shares of the Company. Following the
issue of these shares, the Company's issued ordinary share capital shall
consist of 482,974,200 ordinary shares. The figure of 482,974,200 represents
the total voting rights in the Company and should be used by shareholders as
the denominator for the calculation by which they can determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the Financial Conduct Authority's ("FCA") Disclosure Guidance
& Transparency Rules.

by virtue of the European Union (Withdrawal) Act 2018 ("MAR"), and is
