Issue of Equity

 

Cloudbreak Discovery Plc (LSE: CDL), a leading London listed royalty company
and natural resources project generator, announces that it has
issued 7,876,829 ordinary shares at a price of 1.64p per share to Crescita
Capital LLC ("Crescita").  The shares have been issued in accordance with
the terms of the variation to the Equity Drawdown Facility with Crescita which
was entered into on 30 March 2022.

Application is being made for the new ordinary shares to be admitted to
trading on the Main Market of the London Stock Exchange which is expected to
be on or around 21 April 2023. These shares rank pari passu with the existing
ordinary shares of the Company. Following the issue of these shares, the
Company's issued ordinary share capital shall consist of 607,678,805 ordinary
shares. The figure of 607,678,805 represents the total voting rights in the
Company and should be used by shareholders as the denominator for the
calculation by which they can determine if they are required to notify their
interest in, or a change to their interest in, the Company under the Financial
Conduct Authority's ("FCA") Disclosure Guidance & Transparency Rules.

by virtue of the European Union (Withdrawal) Act 2018 ("MAR"), and is
