EBT PURCHASE OF SHARES
 
 
The Company was notified on 8 February 2021 by the trustees of the Cohort Employee Benefit Trust (the EBT) that they purchased 68,500 ordinary shares of 10 pence each in the Company (Shares) on 5 February 2021 at a price of £6.23953 per Share and 31,500 Shares on 8 February 2021 at a price of £6.26131. The Shares held in the EBT are intended to be used to satisfy awards made under the Cohort employee share schemes.
 
The EBT is a discretionary trust for the benefit of employees of Cohort plc and its subsidiaries. The Executive Directors of Cohort plc are included in the class of beneficiaries of the EBT and are deemed to be interested in those shares and the dealings thereof. 
 
Following this transaction, a total of 175,200 Shares representing 0.43 per cent of the Company's total voting rights will be held in the EBT.
