EBT Purchase 
The Company was notified on 9 February 2018 by the trustees of the Cohort Employee Benefit Trust ("EBT") that they purchased 50,000 ordinary shares of10 penceeach in the Company on 9 February 2018 at a price of 338.83 penceper share. The shares held in the EBT are intended to be used to satisfy awards made under the Cohort employee share schemes.
The EBT is a discretionary trust for the benefit of employees of Cohort plc and its subsidiaries. The Executive Directors of Cohort plc are included in the class of beneficiaries of the EBT and are deemed to be interested in those shares and the dealings thereof.
Following these transactions, a total of 397,845 ordinary shares, representing 0.97 per cent of the Company's total voting rights, are held in the EBT.
