Cohort plc (the "Company") hereby notifies the market that, on 1 September 2018 share options pursuant to the Cohort plc 2016 Savings Related Share Option Scheme were granted to Mr Andrew Thomis and Mr Simon Walther as follows:

The SAYE options are made pursuant to three-year savings contracts and the exercise price is based on the share price at close of business on the 9 August 2018 (the date before invitation).
 
Director Participation in Share Incentive Plan
On 1 September 2018, Mr Andrew Thomis and Mr Simon Walther joined the Cohort plc Share Incentive Plan ("SIP"). Under the SIP, Mr Thomis and Mr Walther have each committed to contribute £150 per month from pre-tax pay for a 12-month accumulation period. The total amount saved will be used to purchase Company shares at a price which is the lower of 415.00p and the market price on the final day of the accumulation period.

The Company also notifies the market that, on 3 September 2018, Andrew Thomis notified the Company that he had received 2,300 ordinary shares of 10 pence each from the trustee of the Cohort plc Employee Benefit Trust ("EBT") pursuant to the exercise of an option granted under the Cohort plc Savings Related Share Option Scheme on 14 August 2015. 
Following the transaction, Andrew Thomis' interest and that of his persons closely associated in Ordinary Shares is 140,526 shares, representing 0.34% of the total issued share capital of the Company.
