DIRECTORATE CHANGE

APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

Cohort, the independent technology group, is pleased to announce the
appointment of Peter John Lynas as a non-executive director, with effect from
2 January 2024. He will also become a member of the Audit, Remuneration and
Nomination Committees. Jeff Perrin, currently Chairman of the Audit Committee,
has advised the Board of his intention to retire from the Board following the
2024 AGM, after 9 years in post, and it is planned that Peter Lynas will then
replace him as Chairman of the Audit Committee.

Peter Lynas is a qualified FCCA who spent the early part of his career in a
variety of financial roles, primarily with GEC Marconi. From 2000 he was at
BAE Systems, first as Group Controller and then as Group Finance Director from
2011 until his retirement in 2020. In addition to his wide and deep knowledge
of all aspects of finance in the international defence and aerospace sector,
encompassing financial control and reporting, treasury, tax, risk management,
M&A and investor relations, Peter has considerable experience of programme
management and strategy development and execution.

Peter is also a non-executive director of FirstGroup plc and he served as a
non-executive Director of SSE plc from 2014 until 2023.

Nick Prest, Chairman of Cohort said:

"I am delighted that we will shortly be welcoming Peter Lynas to the Board.
His financial acumen and experience of our industry will be of great value as
we take Cohort to the next stage of its development."

Other than as set out in this announcement, there are no further disclosures
required under Schedule Two, paragraph (g) of the AIM Rules for Companies.
