Vesting of Long Term Incentive Plan Awards and Total Voting Rights
20 November 2025 - The Board of Craneware (AIM: CRW.L), a leader in healthcare
financial performance solutions, announces that on 18 November 2025, under the
terms of the Craneware plc Long Term Incentive Plan (2022) ("LTIP"),
conditional awards of ordinary shares of 1p each in the Company ("Shares")
which were granted to three Directors of the Company and to the Company's
Chief Legal Officer, who is also a person discharging managerial
responsibility ('PDMR'), vested to the extent that certain performance
conditions were satisfied.

The net amount of Shares received by three of the Directors and the Chief
Legal Officer, as shown in the table above, from the vested LTIP awards was
after payment of the associated tax liabilities.
No consideration was payable by each of the three Directors or by the other
PDMR to receive the Shares from these LTIP awards.
The net number of Shares from these vested LTIP awards received by each of the
three Directors and the other PDMR are subject to a two year post-vesting
holding period.
Following this transaction, Keith Neilson holds 3,185,843 Shares which is
8.97% of the issued share capital* of the Company, Craig Preston holds 100,842
Shares which is 0.284% of the issued share capital* of the Company, Isabel
Urquhart holds 18,111 Shares which is 0.051% of the issued share capital* of
the Company and Eric Carter holds 28,420 Shares which is 0.080% of the issued
share capital* of the Company.
Total Voting Rights
Following the vesting of these conditional share awards and also the vesting
of conditional share awards for certain other employees on 18 November 2025
and the earlier exercise of share options by employees, in the period since 22
October 2025 the Company is transferring or has transferred a total of 76,953
Ordinary Shares previously held in treasury to satisfy the transactions. As a
result, the Company's issued share capital now consists of 35,542,169 Ordinary
Shares, of which 33,349 remain held in treasury. Accordingly, the total number
of Ordinary Shares in the Company with voting rights is 35,508,820. This
figure may be used by shareholders as the denominator for the calculations by
which they will determine if they are required to notify their interest in, or
a change to their interest in, the Company under the FCA's Disclosure Guidance
and Transparency Rules.
