Result of General Meeting and
Issue of Equity
The Board of Critical Mineral Resources PLC announces that at the general
meeting of the Company held yesterday all resolutions were duly passed.
Further to the announcement of the Company on 23 May 2025, the Company has
issued 56,896,552 new ordinary shares at a price of 1.45 pence per share, as
part of the Second Tranche Investment by Gilini Holdings Ltd ("Second Tranche
Shares"). Following the issue of shares the enlarged issued share capital of
the Company will be 192,288,051 ordinary shares of 1p each. Each ordinary
share carries the right to one vote. The Company does not hold any shares in
treasury.
The 192,288,051 number may be used by shareholders for determining if they are
required to notify their interest in, or a change to their interest in, the
Company, under the Disclosure and Transparency Rules.
The Company will confirm when the application for the Second Tranche Shares
will be made for trading on the main market for listed securities of the
London Stock Exchange, in a subsequent announcement.
