ISSUE OF SHARES AND TOTAL VOTING RIGHTS
MiLOC Group Limited ("MiLOC" or the "Company") is please to announce that it has raised a total of HKD5,679,006 (approximately 539,750) through the issue of 1,893,859 new Ordinary Shares of US$ 0.001 each in the Company ("Ordinary Shares"), at a price of 28.5p per share.
The Company has issued a further 73,910 Ordinary Shares at a deemed subscription price of 30p per share to certain consultants as commission in respect of the fundraising.
The Company also announces that it has completed the placing with Mr. Ivor Colin Shrago, a non-executive Director of the Company, that was previously announced on 29 August 2017 and has issued 85,873 Ordinary Shares to Mr. Shrago. The Company has also received notification from Mr. Shrago that he has completed the sale transaction of 66,900 Ordinary Shares to a non-related party, also announced on 29 August 2017, and Mr. Shrago is now interested in 375,047 Ordinary Shares, representing 0.5% of the Company's issued share capital.
The Ordinary Shares rank passu in all respects with the existing Ordinary Shares.
The Company announces that, following the issues referred to above, in accordance with the Financial Conduct Authority's Disclosure and Transparency Rules (the "Disclosure and Transparency Rules"), the total number of Ordinary Shares in issue as at the date of this notice is 74,777,903 with each share carrying the right to one vote.
MiLOC does not hold any shares in Treasury.
The above figure of 74,777,903 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
