(the "Company" or the "Fund")

 

Result of Extraordinary General Meeting

 

The Company announces that at the Extraordinary General Meeting held earlier
today, all resolutions set out in the circular to shareholders dated 31 March
2026 (the "Circular") were duly passed.

 

Accordingly, the Fund's new investment policy and strategy as set out in the
Circular has been approved and on 1 May 2026 the appointment of Global Fund
Management Services Limited as the Fund's new alternative investment fund
manager (AIFM) and Tarncourt Asset Management Limited as the new investment
adviser will become effective, and at the same time, Crystal Amber Asset
Management (Guernsey) Limited will cease to act as the Fund's investment
manager and Crystal Amber Advisers (UK) LLP will cease to act as the Fund's
investment adviser.

 

In addition, following the approval of resolution 2 by shareholders, the new
articles of incorporation have been adopted and a copy is available on the
Company's website at www.crystalamber.com (http://www.crystalamber.com) .

 

The proxy votes received on each resolution are set out in the table below.
Resolution 1 was proposed as an ordinary resolution and resolution 2 was
proposed as a special resolution.

Discretionary votes received were voted in favour of a resolution and are
counted in the proportion of votes 'for'.
