    * Says it plans to form a business and capital alliance with
KDDI
CORP  9433.T , jointly working in AI area
    * KDDI will acquire 2.1 million shares of the company,
including 1
million shares sold by the company's chairman at price of 641
yen per share
    * KDDI will own 17.78 percent stake (2.1 million shares) in
the
company after transaction and to be the top shareholder 
    * And the current top shareholder and chairman Hirofumi Sawa
will
cut stake in co to 2.84 percent from 10.99 percent 
    * Shareholding structure changes will be effective on July
