Director change

 

Dialight plc (LSE: DIA.L), the global leader in sustainable LED lighting for
industrial applications, announces that David Thomas has notified the Company
that, after 7 years' service on the Dialight Board, he will not be seeking
re-election at the Company's upcoming Annual General Meeting scheduled for
16(th) May 2023.  David joined Dialight in 24 April 2016, chaired the
Company's audit committee between April 2016 and January 2023 and served as
the Board's senior independent director.  David was appointed interim Chair
of the Company on 1(st) January 2023 whilst the Board undertook a search for a
new Chair.

 

David Thomas said:

"Following the announcement of Neil Johnson's appointment to the Board Chair
role with effect from 17 May 2023, I feel the time is right, after 7 years at
Dialight, to step down from the Board.  I know I leave the Company in capable
hands, and wish the Board, the Company, and its employees all the very best
for the future."

 

Fariyal Khanbabi said:

"David has served on the Dialight Board for the past seven years in a number
of roles including audit committee chair, senior independent director and most
recently as interim Board Chair since January. He has helped to guide Dialight
through some challenging times and I would like to personally thank David for
the significant contribution that he has made to the Board and to the
business. We extend our very best wishes to David for the future."

 

Other Disclosures

In accordance with s.430 (2B) of the Companies Act 2006, it is confirmed no
payments will be made to David Thomas in connection with his stepping down
from the Board, other than his usual non-executive Chair fees paid pro-rata.

 

There are no further disclosures required for the purposes of Listing Rule
9.6.11.
