Director/PDMR Shareholding

EARNZ (AIM: EARN), an energy services company whose objective is to capitalise
on the drive for global decarbonisation, announces that it has been informed
that earlier today, Bob Holt, the Company's Non-Executive Chair, has
transferred 2,500,000 ordinary shares of 4 pence each in the Company (the
"Ordinary Shares") at 6 pence per share, from his personal holding into a SIPP
in his own name (the "Transferred Shares"). The Transferred Shares are the
subject of a lock-in deed which was entered into on 8 August 2024 (and
summarised in paragraph 12.1.10 of Part IX of the Company's admission document
dated 9 August 2024). The transferee has agreed to be bound by the
restrictions contained in the lock-in deed, in respect of the shares
transferred to it.

Following this transfer, Bob Holt's beneficial interest in the Company remains
at 12,400,000 Ordinary Shares (3,452,103 Ordinary Shares are held in a SIPP,
4,666,666 Ordinary Shares are held in a SSAS, both in his own name, 200,000
Ordinary Shares are held by his wife, Angela Burnett, and the remainder held
in his own name) representing approximately 10.65% of the Company's issued
share capital.
