Result of Retail Offer

 

The Board of Eden Research plc (the "Company") (AIM: EDEN), a leader in
sustainable biopesticide and biocontrol technologies, is pleased to announce
that the Retail Offer launched on 2 February 2026 has now closed, raising
gross proceeds of approximately £0.2 million. Subject to the Retail Offer
becoming unconditional, a total of 3,760,473 Retail Offer Shares will be
issued at a price of 4.0 pence each.

Following the close of the Retail Offer, the Company has conditionally raised,
in aggregate, gross proceeds of approximately £10.8 million at the Issue
Price via the Fundraising.

As set out in the Circular published on 2 February 2026, the Retail Offer is
conditional on, inter alia, the Resolutions being passed by the Shareholders
at the General Meeting to be held on 18 February 2026 and First Admission
becoming effective.

Subject to the passing of the Resolutions at the General Meeting, the Company
will issue and allot a total of 270,010,473 new Ordinary Shares with regards
to the Fundraising. First Admission, in respect of the Firm Placing, Firm
Subscription and Retail Offer, of 80,010,473 new Ordinary Shares is expected
to occur at 8.00 a.m. on or around 19 February 2026. Subject to the
satisfaction of the Condition, Second Admission, in respect of the
Conditional Placing, is expected to occur at 8.00 a.m. on or around 9 April
2026, but in any event no later than a longstop date of 6 May 2026.  If the
Condition is not satisfied by 6 May 2026, the Conditional Placing will not
complete and the funds being raised under the Conditional Placing will not be
received.

The issued share capital of the Company following the First Admission
(including the new Ordinary Shares) (the "First Admission Enlarged Share
Capital") will be a total of 613,362,996 Ordinary Shares. Subject to the
satisfaction of the Condition, the issued share capital of the Company
following the Second Admission (including the new Ordinary Shares) (the
"Second Admission Enlarged Share Capital") will be a total of 803,362,996
Ordinary Shares.

A separate announcement will be made following the General Meeting of the
results of the General Meeting and the total voting rights following
Admission.

Cavendish Capital Markets Limited ("Cavendish") and Oberon Investments Limited
("Oberon") acted as Joint Bookrunners in connection with the Placings.

Unless otherwise defined, all capitalised terms used but not defined in this
announcement shall have the meaning given to them in the announcement of the

Based on plant-derived active ingredients, Mevalone® is a foliar

high-value fruit and vegetable crops.  It is a useful tool in crop defence
programmes and is aligned with the requirements of integrated pest management
programmes. It is approved for sale in a number of key countries whilst Eden
and its partners pursue regulatory clearance in new territories thereby
growing Eden's addressable market globally.

Cedroz™( )is a bionematicide that targets free living nematodes which are
parasitic worms that affect a wide range of high-value fruit and vegetable
crops globally.  Cedroz is registered for sale on two continents and Eden's
commercial collaborator, Eastman Chemical, is pursuing registration and
commercialisation of this important new product in numerous countries
globally.

Eden's seed treatment product, EcovelexÔ was developed to safely tackle
crop destruction caused by birds - a major cause of losses in maize and other
crops. Ecovelex works by creating an unpleasant taste or odour that repels
birds, leaving the seeds safely intact and the birds unaffected and free to
find alternative food sources. The product is based on Eden's plant-derived
chemistry, registered in the EU, U.S. and elsewhere, and formulated using
Eden's Sustaine® microencapsulation system.

Eden's Sustaine(® )encapsulation technology is used to harness the biocidal
efficacy of naturally occurring chemicals produced by plants (terpenes) and
can also be used with both natural and synthetic compounds to enhance their
performance and ease-of-use. Sustaine microcapsules are naturally-derived,
plastic-free, biodegradable micro-spheres derived from yeast. It is one of the
only viable, proven and immediately registerable solutions to the
microplastics problem in formulations requiring encapsulation.

Eden was admitted to trading on AIM on 11 May 2012 and trades under the
symbol EDEN. It was awarded the London Stock Exchange Green Economy
Mark in January 2021, which recognises London-listed companies that derive
over 50% of their total annual revenue from products and services that
