Issue of Equity and Total Voting Rights
Exercise of Options
Director/PDMR Shareholding
 
The Company was notified today that on 04 October 2019 Mr Adam Kaye, Executive Director of Everyman, exercised options over 499,977 ordinary shares of 10 pence each in the Company ("Ordinary Shares"). The exercise price was 85 pence. 
 
Following the exercise, Mr Kaye and his persons closely associated ("PCAs") sold a total of 799,977 Ordinary Shares on 4 October 2019. The sale price was 175 pence per Ordinary Share. Following the above transactions, Mr Kaye and his PCAs have an interest in 5,349,956 Ordinary Shares, representing 7.34 per cent of the enlarged issued share capital of the Company.
 
The Company has made an application for the 499,977 Ordinary Shares to be admitted to trading on AIM ("Admission"). Admission is expected to become effective at 8.00 a.m. on 10 October 2019. Following Admission, the Company will have 72,842,992 Ordinary Shares in issue, each with voting rights, which figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules. The Company does not hold any Ordinary Shares in Treasury.
