FAIR OAKS INCOME LIMITED (the "Company")

 

(Incorporated in Guernsey under The Companies (Guernsey) Law, 2008, as
amended, with registered number 58123 and registered as a Registered
Closed-ended Collective Investment Scheme with the Guernsey Financial Services
Commission)

 

Confirmation of Voting Rights Post-Share Consolidation

 

The Directors of the Company wish to announce that the total number of voting
rights in respect of the following class of shares is:

 Share Class          Number of shares in issue  Aggregate shares in issue
 Ordinary Shares*      40,581,547                 60,026,362

 Realisation Shares    19,444,815

 *includes 1,911,063 Ordinary Shares held in Treasury.

Following the Extraordinary General Meeting and Class Meeting held on 30 April
2026, Ordinary Shares now each carry ten votes per share held, and Realisation
Shares each carry one vote per share held (excluding Shares held in Treasury).
Therefore, the total number of voting rights in the Company is 406,149,655 and
may be used by shareholders as the denominator for the calculations by which
they will determine if they are required to notify their interest in, or a
change to their interest in the Company under the FCA's Disclosure Guidance
and Transparency Rules.

Ordinary Shares will revert to carrying one vote per share held upon the full
redemption of the Realisation Share class.
