FDM GROUP (HOLDINGS) PLC (the "Company")

The Company has been notified that on 21 April 2026 Paula McLaren, a "Person
Closely Associated" with Michael McLaren (CFO), purchased 43,105 ordinary
shares of £0.01 each in the capital of the Company ("Ordinary Shares") at a
price of £1.162 per Ordinary Share. Paula McLaren is a "Person Closely
Associated" with Mike McLaren (CFO) for the purposes of Article 3(1)(26) of
the UK Market Abuse Regulation (MAR).
