Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.

 

This Amendment No. 1 to Form 8-K amends the Current Report on Form 8-K of
Fermi Inc.(the "Company") filed with the Securities and Exchange Commission on
April 17, 2026. On April 30, 2026, the Company terminated Mr. Toby
Neugebauer's employment for Cause pursuant to his Employment Agreement as a
result of conduct in violation of the terms of such agreement and of Company
policies. As a result of his termination for Cause, Mr. Neugebauer was
automatically removed from the Company's board of directors.
