Issue of Equity; TVR

 

Firering, an exploration company focusing on strategic minerals, announces
the issue of equity as detailed below.

 

Issue of Subscription Shares

 

On 24 March 2025 the Company announced that it had raised £477,000 in a
Subscription, alongside the Placing which was completed on the same date.
However, as the Company did not at the time have sufficient share capital
authorities, the Company confirmed that the issue of shares under the
Subscription would not take place until after the Company's Annual General
Meeting, at which such authorities were sought.

 

Following the AGM earlier today, the Company can confirm that the 13,628,570
Subscription Shares have now been issued, at an issue price of 3.5 pence per
share.

 

Issue of Warrants

 

In addition, and as also set out in the 24 March 2025 announcement, 2,698,392
Warrants have been issued to Shard, the Company's broker.

 

Admission and Total Voting Rights

Application has been made to the London Stock Exchange for admission of
13,628,570 new Ordinary Shares to trading on AIM. It is expected that
admission will become effective and dealings in the Subscription Shares will
commence on AIM at 8.00 a.m. on or around 31 July 2025.

The new Ordinary Shares will be issued fully paid and will rank pari
passu in all respects with the Company's existing Ordinary Shares.

Following Admission, the total number of Ordinary Shares in the capital of the
Company in issue will be 243,367,625 with voting rights. This figure may be
used by Shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or a change
to their interest in, the Company's issued share capital pursuant to the
Company's articles of association.

Capitalised terms used but not otherwise defined in this announcement shall
have the meanings ascribed to such terms in the Company's announcement made at
4.34 p.m. on 21 March 2025, unless the context requires otherwise.
