("Georgina", "Georgina Energy" or the "Company")

 

Exercise of Warrants

The Company has received notice to exercise 2,222,220 broker warrants at
£0.027 and 13,518,500  investor warrants at £0.05 which were issued as part
of the fundraising announced on 1 May 2026. The gross proceeds of
approximately £736,000 will be dedicated to our work programmes and general
working capital.

Admission and Total Voting Rights

The Company will seek admission of an aggregate of 15,740,720 new ordinary
shares of 1 pence par value to trading on the Equity (transition) category of
the Official List and the London Stock Exchange from 8.00 a.m. on 2 June 2026
("Admission").

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the
Company confirms that following Admission, the Company's enlarged share
capital will comprise 187,711,707 Ordinary Shares. The Company does not hold
any Ordinary Shares in Treasury. Therefore, following Admission, the above
figure may be used by shareholders in the Company as the denominator for the
calculations to determine if they are required to notify their interest in, or
a change to their interest in the Company, under the FCA's Disclosure Guidance
and Transparency Rules.
