Appointment of Sponsor and Financial Adviser 


Further to the Company’s announcement of 23 July 2026 (the “Proposed Acquisition Update”), Golden Rock Global plc, ("LSE: GCG" or the "Company") a Jersey registered company admitted to the Equity shares (shell companies) category of the Official List of the Financial Conduct Authority (the "Official List") and to the main market of the London Stock Exchange plc (the "Main Market") is pleased to announce it has appointed SPARK Advisory Partners Limited as its Sponsor and Financial Adviser in connection with the Proposed Acquisition, subject to the completion of the Sponsor’s due diligence.


The Proposed Acquisition would constitute an initial transaction for the purposes of UKLR 13.4.2R. On completion, the Company would seek admission of the enlarged group’s shares to the Equity Shares (Commercial Companies) category of the Official List and to trading on the Main Market (the “Admission”).


Discussions regarding the terms of the Proposed Acquisition remain ongoing. There can be no certainty that the Proposed Acquisition will be agreed or completed, or as to its final terms.


The Company’s ordinary shares remain suspended and are expected to stay suspended until publication of a prospectus in relation to the Proposed Acquisition and Admission, or until the Company otherwise announces that the suspension has been lifted.
