** Analog Devices ADI.O will acquire privately held Alif Semiconductor for $1.35 billion in cash, the companies said, expanding Analog's on-device capabilities as AI applications increasingly move into physical systems.

** Independence Realty Trust IRT.N said it would buy Centerspace CSR.N in an all-stock deal, valuing the smaller rival at about $1.02 billion, as the real estate investment trust (REIT) seeks to expand its residential portfolio in key U.S. markets.

** Spanish second-division side C.D. Eldense said that Argentine great Lionel Messi has reached an agreement in principle to become the club's new owner.

** French business software provider Cegid and payroll platform Silae said they were planning to merge to create a European technology group valued at more than €10 billion ($11.6 billion).

** Brown & Brown (Europe) has acquired Scottish broker Alan R MacKay & Company, which trades as MacKay Corporate Insurance Brokers, marking the group's first retail acquisition in Scotland, the company said on Monday.

** Co-founders of Hyrox, the fitness-racing group whose gruelling course is popular on social media, bought back Infront Sports & Media's majority stake in the company in partnership with a consortium led by U.S. private equity firm L Catterton, the German firm said on Tuesday. nL6N4510F8
     
** British engineering group Goodwin GDWN.L has agreed to sell parts of a division that houses its defence assets for £1.1 billion ($1.49 billion) to U.S.-based private equity firm Cerberus Capital, it said. nL4N4510H7
     
** Australian shipbuilder Austal ASB.AX said U.S.-based Wildcat Infrastructure had offered up to $1.35 billion for its U.S. business, topping a bid from South Korea's Hanwha Group and sending its shares sharply higher. nL4N45101Q
     
** An entity controlled by Indonesian tycoon Andi Syamsuddin Arsyad, who is also known as Haji Isam, has offered about $3 billion in cash for a 62% stake in coal miner Bayan Resources BYAN.JK, Bloomberg News reported, citing people familiar with the matter. nL4N4510G4
     
** U.S. private equity firm Cerberus said on Tuesday it has sold Tenet Equity, a real estate finance company, to the asset management arm of real estate investment trust CBRE Group CBRE.N for $1.6 billion. nL4N4501OS
