("Gresham House" or the "Company")
Director/PDMR Exercise & Long Term Incentive Scheme Awards
Gresham House announces that its wholly-owned subsidiary Gresham House
Holdings Limited ("GHHL") has, pursuant to the long term incentive plan
approved by the Company's shareholders at the General Meeting of Gresham House
held on 20 November 2015 ("2016 LTIP"), received requests from three PDMRs to
exercise their put options over the GHHL shares listed below ("Put Options"),
following satisfaction of both the Hurdle Condition and the Performance
Condition set out in the Company's announcement dated 23 December 2019.
Following the exercise of the Put Options, the Directors/PDMRs listed below
retain significant share-based long-term incentives in the Company.

The Put Options were satisfied in accordance with the provisions of the 2016
LTIP by the Company repurchasing the total of 180 GHHL D Shares from Mr
Hampshire, Mr Acton and Mr Khan respectively.
Vesting of 2018 Performance Share Plan ("PSP") awards and PDMR Shareholding
Following the vesting of the PSP awards previously announced on 25 July 2019,
Mr Khan has exercised nil cost options over a gross number of 29,226 ordinary
shares of 25 pence each in the capital of the Company ("Ordinary Shares"). The
net number of Ordinary Shares that will be transferred by the Gresham House
plc Employee Benefit Trust to Mr Khan, after adjustment for taxes, is 15,687
Ordinary Shares.
Following the exercise, Mr Khan will beneficially hold 23,217 Ordinary Shares
in the Company, equating to 0.06% of the Company's issued share capital.
Save as You Earn Scheme ("SAYE") PDMR Notifications
The Company further announces that, on 7 April 2022, SAYE options over 138,422
Ordinary Shares were granted to eligible employees of the Company at a price
of 665.6 pence per Ordinary Share.
The right to acquire the Ordinary Shares over which the SAYE options have been
granted, is conditional upon the employees' continued employment on 1 June
2025.
Approximately 62% of eligible employees have elected to participate in the
SAYE overall.
Pursuant to the SAYE, the following PDMRs have been granted, in aggregate in
2022, SAYE options over 13,520 Ordinary Shares as listed below:
