Block Listing Application to AIM

 

As announced on 23 November 2023, the scheme of arrangement published on 4
August 2023 to implement the acquisition of Gresham House by Seed Bidco
Limited pursuant to Part 26 of the Companies Act 2006 ("Scheme"), is
anticipated to become effective on 19 December 2023. Capitalised terms used
but not otherwise defined in this announcement shall have the meaning given to
them in the Scheme Document.

 

Gresham House announces that an application has been made to AIM for a block
listing of 4,157,529 new ordinary shares of £0.25 each in the Company (the
"New Gresham House Shares") for the purposes of satisfying the future vesting
and exercise of awards up to a maximum of 4,157,529 New Gresham House Shares
granted pursuant to certain Gresham House employee share plans which would
vest upon the sanction of the Scheme by the Court or as a consequence of the
Scheme becoming Effective.

 

When issued, the New Gresham House Shares will rank pari passu in all respects
with Gresham House's existing ordinary shares of £0.25 each.

 

Admission of the block listing is expected to take place on 13 December 2023.
