Court of Appeals renders decision in Pol-Ka Producciones S.A. Dispute

 

On 15 June 2022, Grupo Clarín S.A. (the "Company") informed the Argentine
Securities Commission and the Buenos Aires Stock Exchange that the Company's
subsidiary Arte Radiotelevisivo Argentino S.A. ("ARTEAR") and ARTEAR's
subsidiary Pol-Ka Producciones S.A. ("Pol-Ka") had been served notice of a
decision rendered by Chamber A of the National Court of Appeals on Commercial
Matters in re "Blanco, Fernando v. Pol-Ka Producciones S.A. on Ordinary
Proceeding" (File No. 9979/2020), whereby that court decided: a) to render
without effect injunction that suspended the decisions adopted by Pol-Ka's
shareholders under points 13, 14 and 15 of the agenda of Pol-Ka's
shareholders' meeting held on 13 July 2020, whereby the shareholders had
resolved to increase that company's equity from Ar$ 8,269,108 to up to Ar$
51,500,000 (nominal value); the issuance of common, nominative, non-endorsable
shares with an issuance premium; the resulting amendment of Article Five of
Pol Ka's bylaws and the granting of the necessary authorizations relating to
the resolutions adopted in the abovementioned points of the agenda; b) to
reject the appeal filed by Mr. Blanco and confirm the dismissal of the request
for an intervention of Pol Ka and extension of the appointment of a company
observer; c) to confirm the dismissal of Mr. Blanco's request for the
annotation of a lis pendens; and d) to confirm the dismissal of a request to
summon third parties to the litigation.
